Minutes of the December 19, 2006 SSHBEA Board of Directors Meeting

 

            At 7:07PM on December 19, 2006, Travis Kelley called the SSHBEA Board of Directors meeting to order and asked Janice Higgins to call the roll.  All were present except Roy Franklin who had notified the office, Freda Wassom who did no notify the office and Ronnie Sapp who is on temporary suspension.  The minutes had been mailed and Sis Osborne made the motion to approve them, Janie Rowland seconded, motion passed.

 

            Bobby McNatt had called Travis and asked if we could include the Rocky Mountain Horse Association registry with the already approved TWH, RHB and the other SSH association’s papers.  Approved meaning, not requiring a video to meet registration requirements.  Which association needs to be identified by it’s official name since there are several.  Travis appointed Sis Osborne to research which Rocky Mountain horse association should be included.

 

            Aaron Crafton presented the Financial Report.  At the end of November we were slightly in the hole.  Part of this is due to some late billing.  Aaron presented the projected budget with a net of $26 to $27,000 for 2007.  Dan Meyer made the motion to approve the Financial Report, Sis Osborne seconded, motion passed.  There was a suggestion about possibly raising the membership dues $5 - $10 per year.  We need to try to get the magazine to the point it will stand on its own.

 

            Travis reported the Employee Committee had met tonight.  Cindy Haley had expressed an interest in working in sales for SSHBEA.  The committee had gone over a job description and contract – Dan Meyer would make a few minor changes such as adding dates, etc.  It was the recommendation of the Committee to hire Cindy as a 1099 employee.  She will work from home, will have no benefits and will only be paid on performance.  The percentage rate is still being negotatied – possibly 20% on regular magazine ads and 10% on corporate sponsors – there will be another meeting to finalize these rates.  There was a question about paying a board member.  It was explained that show chairmen, judges and/or ringmasters that sit on the board are continually being paid.  The magazine committee is acquiring bids from other printers.  Our invoices from the current printer are never itemized per page and are always different.  Freda Bullard made the motion for the magazine committee to research new bids for printing and bring to the next board meeting, Sis Osborne seconded, motion passed. 

 

            Johnny Smith reported a judge’s clinic was held on November 11 and they had 6 new applicants to apply for apprentice license.  All passed the test and all were reviewed by the judges committee and approved for recommendation to the board.   They were David Oliver – Freda Bullard made the motion to approve him, Kim McMahan seconded, motion passed, Jackie Lowery – Sis Osborne made the motion to approve her, Freda Bullard seconded, motion passed, Brian Wainwright – Sis Osborne made the motion to approve him, Freda Bullard seconded, motion passed, Harry Dean Hobbs – Janie Rowland made the motion to approve him, Sis Osborne seconded, motion passed,  Travis Kelley – Kim McMahan made the motion to approve him, Freda Bullard seconded, motion passed and Brian Hill – Freda Bullard made the motion to approve him, Kim McMahan seconded, motion passed.  Danny Ray Davis had attended the judges committee meeting and talked to them about the Gaited Mule Association that conducts classes at the Great Mule Celebration in July, affiliating with SSHBEA so they can add our judges and possibly our D.Q.P.’s to their lists.  Johnny asked Danny Ray to go back to the Mule association and complete a proposal and bring it back before the SSHBEA board. 

 

            There had been a tie between Travis Kelley and Bob Wright for President of SSHBEA for 2007.  Travis had decided to concede the election to Bob.

 

            Krista Smith asked if we would be having our regular board meeting the week before the Annual meeting.  Sis Osborne made the motion to hold that meeting on Friday, January 19, after the board luncheon, Janie Rowland seconded, motion passed.

 

            Judy Hooker reported in the midst of the election results as chairperson of the Credentials Committee, she had received many phone calls.  In answering questions she had been asked, she realized the SSHBEA by-laws need changes made to agree with the way business is conducted today.  Changes need to be made about the Credentials committee approving the people running for positions – this no longer happens (Janice Prince is a member of the committee and approves them).  The by-laws say the committee should be made up of 5 people and a rep. of the accounting firm.  This no longer applies since most of the voting is done by mail.  The by-laws say “The decision of the Credentials committee will be final unless changed by the Association”.  Judy questions what decisions?  We also need to define what is a “Member in good standing”.  Something also needs to be added on what to do in case of a tie. 

 

            Sis Osborne made the motion to adjourn.  Janie Rowland seconded, motion passed.
